Albertsons/American Stores merger divestiture list

Post by runchadrun »

I just came across the list of stores that were ordered divested by the FTC in the Albertsons/American Stores merger. On the list were 144 stores and 5 store sites in California, Nevada, and New Mexico.

The press release is here: http://www.ftc.gov/opa/1999/06/american.htm
And the store list is here: http://www.ftc.gov/opa/1999/06/attachments.htm

runchadrun: now that's a helpful resource!

So immediately jumping out at me was:

Lucky, 17220 South Lakewood Boulevard, Bellflower, California 90706

The same building as...
Gemco #529: 9075 Artesia Blvd. E., Bellflower , CA 90706

Except of course now it has been subdivided and looks nothing like a Gemco.

This is the summary of who got how many stores from the press release:
The five upfront buyers, the number of stores and land sites each is acquiring are as follows: 27 stores and one land site in Nevada and New Mexico to Raley's; 40 stores and two land sites to Ralphs (a Kroger/Fred Meyer subsidiary), primarily in Northern California; 43 stores and one land site to Stater Bros. in Southern California; 31 stores to Certified Grocers of California, primarily in Southern California; and three stores and one land site to Vons (a Safeway subsidiary).

Certified Grocers is a food wholesaler that does not operate many corporate-owned stores. Certified intends to transfer most of these stores to experienced operators. The Commission proposes to pre-approve specific buyers for 27 of the stores to be acquired by Certified Grocers. The proposed consent order would require Certified Grocers to divest at least 20 of the stores within 90 days from the time the order becomes final. According to the proposed order, Certified Grocers must seek prior approval from the Commission to divest, within three years of the final order, any supermarkets to any firms not pre-approved in the proposed consent order to acquire specific stores. The pre-approved independent buyers that Certified Grocers plans to sell identified supermarkets to are listed in attached List B.

The land site mentioned being divested to Raley's in Nevada on the northwest corner of Maryland Pkwy. and Eastern has a new shopping center that has just been completed and it dosen't have a grocery store at all. It is a large center and instead of making a big strip center there are 8 or 9 buildings with 4 -6 tenants in each building.

Ralphs' and Raley's ended up buying locations in markets away from their established turf which resulted in the Las Vegas Raley's being sold to Smith's/Food4Less(sister Kroger subsidiaries to Ralphs) and Ralphs' quietly closing their Northern California and Central Valley stores. The Albuquerque Raley's are still a question mark for the company, which probably could benefit from any Albertson's closing in the market and may be the reason they are keeping them. Smith's is the dominant operator there, so they likely wouldn't take many Raley's or Albertson's.

A better scenario for the two chains would have been for Ralphs to expand to Las Vegas and Raley's to have expanded it's Northern California presence with the divested Lucky's and Albertson's. At the time Ralphs wasn't part of Kroger and both Smith's and Ralphs' had just become part of Fred Meyer, and Smith's should have gone after the Albuquerque locations. They eventually expanded their presence by taking several former Furr's.

Also, at the time rumors had floated the Kroger was considering making an offer on Raley's. I don't know how far that went, but I prefer seening Raley's independent and the Northern California counterpart to Stater Bros and SaveMart in the Central Valley, with whom they share some distribution and manufacturing operations.

The two mergers went on pretty much simultaneously. Albertsons announced the acquisition of ASC in August, 1998 and was completed in June, 1999. Kroger announced the acquisition of Fred Meyer in October, 1998 and was completed in May, 1999.

Example of divested Albertsons is in Walnut on Amar and Grand near Mt San Antonio College.

Stater Bros acquired this site (one of 43 sites and 1 vacant land). They kept the blue-grey Albertsons decor from 2000-2006. During this time they closed the Better Care pharmacy (currently a conference room) and in about 2002 got rid of the video rental service. They just remodeled using the brand new Stater decor. There are no traces of Albertsons decals now.

Next door was a Savon Drugs that Albertsons kept until 2002. It is currently vacant. Albertsons Surplus Real Estate department is still trying to sell their lease.
